Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of Mechero’s website (https://www.mechero-ai.agency) and services, including AI Automations, AI Receptionists, and voice agents (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Who We Are
Mechero provides AI-driven voice agents and automations that handle appointment booking, FAQ responses, lead capture, and related front-desk tasks for businesses.
Eligibility; Business Use
You must be at least the age of majority in your jurisdiction and have the authority to bind the business you represent. You confirm that you are using the Services for business purposes, not as a consumer.
Accounts and Onboarding
a) Account Creation: You must provide accurate, complete information and keep it current.
b) Access Controls: You are responsible for all activities under your account and for safeguarding login credentials. Notify us immediately of any unauthorized access.
c) Implementation: Setup typically completes in three (3) business days after receiving required inputs (scripts, FAQs, calendar access, integrations, and other configuration details).
Description of Services
a) AI Voice Agent: Books appointments, answers FAQs, and routes callers as configured.
b) Automations: Workflows for lead handling, call routing, messaging, and data capture.
c) Integrations: We can connect to calendars, CRMs, and knowledge bases you authorize. Availability and performance of integrations depend on those third-party platforms.
Scheduling and Connected Calendars
a) Calendar Access: If you grant access to your calendar or scheduling system, you authorize the AI agent to read availability and create/update bookings.
b) Accuracy: You are responsible for maintaining accurate calendar data, time zones, staff availability, and booking rules.
c) Conflicts: Mechero is not liable for double-bookings, conflicts, no-shows, or missed appointments; configure confirmations and reminders to reduce risk.
Consent for Recording; AI Disclosures
a) Recording: You are responsible for informing and obtaining consent from your callers/end users regarding call recording and/or transcription where required by law.
b) AI Identification: Where applicable laws require, you must disclose that callers are interacting with an AI system and provide a means to reach a human upon request.
c) Compliance: You are solely responsible for complying with telemarketing, robocall, and consent laws (e.g., applicable local regulations, TCPA-equivalent rules), including opt-in, opt-out, and do-not-call obligations.
Acceptable Use
You agree not to:
• use the Services for illegal, harmful, or fraudulent activities;
• submit content that infringes others’ rights or violates law;
• attempt to probe, scan, or test the vulnerability of the Services;
• misrepresent identity or impersonate others;
• use the Services for high-risk contexts (emergency services, life support, medical or legal advice, financial or tax advice, or other regulated professional advice) without appropriate human oversight;
• spam, harass, or otherwise abuse callers or contacts.
Your Content and License to Us
a) Your Content: You retain ownership of data, scripts, prompts, FAQs, audio, logos, and other materials you supply (“Customer Content”).
b) License: You grant Mechero a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify, and process Customer Content solely to provide, maintain, improve, and secure the Services and as otherwise permitted by the Privacy Policy.
c) Caller Data: You represent and warrant that you have all rights and lawful bases (including consents) to process caller/end-user data through the Services.
AI Outputs; Human-in-the-Loop
a) No Professional Advice: AI outputs may be inaccurate or incomplete. You are responsible for verifying information and ensuring appropriate human review for consequential use cases.
b) Safety and Quality: Configure guardrails, approved responses, and escalation paths to human staff.
c) Reliance: Mechero disclaims liability for decisions made in reliance on AI outputs.
Third-Party Services and Subprocessors
a) Third Parties: The Services may depend on third-party platforms (telephony providers, cloud hosting, CRMs, analytics). Mechero is not responsible for third-party outages or changes.
b) Subprocessors: Mechero may engage subprocessors under written agreements to support the Services. See our Privacy Policy for details.
Data Protection; Privacy
a) Privacy Policy: Your use of the Services is subject to our Privacy Policy (https://www.mechero-ai.agency/privacy).
b) Security: We implement technical and organizational measures to protect personal data. No method is 100% secure.
c) Data Processing: If applicable, we will provide a Data Processing Addendum (DPA) upon request.
d) International Transfers: Where data is transferred across borders, we implement appropriate safeguards.
Service Plans, Fees, and Payment
a) Pricing: Plans are tailored to your needs and budget. Final pricing and scope are defined in an order form, invoice, or master agreement.
b) Billing: Unless stated otherwise, subscriptions auto-renew for successive terms and are billed in advance. You authorize us to charge your payment method for recurring fees, taxes, and approved usage.
c) Late Payments: Overdue amounts may accrue interest at the maximum rate allowed by law and may incur collection costs. We may suspend or terminate the Services for non-payment.
d) Changes: We may modify pricing or features upon renewal or with reasonable notice as specified in your order.
Trials, Pilots, and Beta Features
Any free trial, pilot, or beta feature is provided “as is” without warranties, may be suspended at any time, and may be subject to additional terms. Beta features may be less reliable or accurate.
Service Availability and Support
a) Availability: We strive for reliable service but do not guarantee uninterrupted or error-free operation. Maintenance windows and third-party outages may affect availability.
b) Support: Standard support is provided during business hours unless your order specifies otherwise.
Suspension and Termination
a) By You: You may terminate at the end of the then-current term by giving the notice specified in your order or account settings. Fees paid are non-refundable unless required by law or your order provides otherwise.
b) By Us: We may suspend or terminate access if you breach these Terms, fail to pay, or if continued service presents legal or security risks.
c) Post-Termination: Upon termination, your access ends. We may retain data as required by law or as described in our Privacy Policy, then delete it within a reasonable period.
Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, accurate, secure, or error-free.
Limitation of Liability
To the maximum extent permitted by law, Mechero and its affiliates, officers, employees, and agents will not be liable for: (i) indirect, incidental, special, consequential, exemplary, or punitive damages; (ii) loss of profits, revenue, goodwill, data, or business interruption; or (iii) aggregate liability exceeding the amounts paid by you to Mechero for the Services in the twelve (12) months preceding the event giving rise to liability. These limitations apply even if a remedy fails of its essential purpose.
Indemnification
You will indemnify, defend, and hold harmless Mechero and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Services; (ii) Customer Content; (iii) your violation of these Terms; or (iv) your violation of any applicable law or third-party rights.
Changes to the Services and to These Terms
We may modify the Services and these Terms from time to time. If we make material changes, we will provide notice (e.g., by email, in-product notice, or posting on our website). Changes become effective upon posting unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance.
Confidentiality
Each party may access the other’s confidential information. A receiving party will use such information only for purposes of performing under these Terms and will protect it with at least the same care it uses for its own confidential information, not less than reasonable care.
Government and Regulated Use
If you operate in a regulated sector (e.g., healthcare, finance, education), you are responsible for ensuring the Services meet your compliance requirements and for entering into any additional agreements that may be required (e.g., BAAs where legally applicable).
Export and Sanctions
You represent that you are not located in, under the control of, or a national or resident of any country or party subject to sanctions or export controls. You agree to comply with all applicable export and sanctions laws.

Governing Law; Venue; Dispute Resolution
These Terms are governed by the laws of the jurisdiction where Mechero is established or, if specified in your order, that jurisdiction, without regard to conflicts of law principles. The courts located in that jurisdiction will have exclusive jurisdiction over any disputes not subject to arbitration. Force Majeure
Neither party is liable for delays or failures due to causes beyond its reasonable control (including acts of God, labor disputes, internet failures, third-party platform outages, government actions, or pandemics).
Entire Agreement; Order of Precedence; Assignment
These Terms, together with any order forms, statements of work, or addenda, constitute the entire agreement between you and Mechero regarding the Services and supersede any prior agreements. If there is a conflict, the order of precedence is: (1) a signed master agreement or order form, (2) these Terms, and (3) documentation on the website. You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
Severability; Waiver
If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver of the right to do so later.
